Terms of Service

UNITREADY TERMS OF SERVICE

Effective Date: August 24, 2026
Last Updated: August 24, 2026

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THEY GOVERN YOUR USE OF UNITREADY’S WEBSITE, CLIENT PORTAL, AND SERVICES. SECTION 28 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO HAVE CERTAIN DISPUTES DECIDED BY A JUDGE OR JURY. YOU MAY OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 28.

These Terms of Service (the “Terms”) are a binding agreement between you and UnitReady. In these Terms, “UnitReady,” “we,” “us,” and “our” mean the UnitReady service provider identified on the applicable estimate, proposal, work order, invoice, or other Service Order. “You,” “your,” and “Client” mean the person or entity accessing the Site, requesting or purchasing Services, accepting a Service Order, or authorizing work. If you act for a company, property owner, property manager, apartment community, or other organization, “Client” includes that organization.

These Terms apply to tryunitready.com and any other UnitReady website, application, client portal, or online feature that links to them (collectively, the “Site”) and to UnitReady’s turnover, junk-removal, make-ready cleaning, moving or labor, light-repair, touch-up, hauling, and related services (collectively, the “Services”).

By accessing the Site, submitting a service request, approving an estimate, electronically accepting a Service Order, paying an invoice or deposit, allowing work to begin, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Site or order Services.

1. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a contract to use the Site or order Services.

If you act for an entity or property owner, you represent and warrant that you have authority to bind that party, authorize access to the applicable property, approve the Services and charges, direct the removal or disposal of items, and grant every permission described in these Terms. UnitReady may request proof of authority but has no duty to independently investigate it.

2. Service Orders and Order of Precedence

A “Service Order” means any estimate, quote, proposal, statement of work, work order, recurring-service schedule, change order, invoice, online checkout, or other written or electronic document describing Services for a particular job or account.

If documents conflict, the following order controls unless the applicable document expressly states otherwise:

  1. A mutually signed master services agreement;

  2. A mutually approved change order;

  3. The applicable Service Order;

  4. These Terms; and

  5. Other Site content or policies.

A Service Order may add to or modify these Terms for that job. Marketing materials, package descriptions, price ranges, turnaround statements, and verbal discussions do not modify a Service Order unless UnitReady confirms the modification in writing.

3. Quotes, Estimates, and Booking

Website prices and package ranges are starting points and may not reflect the final price for a particular property. Unless expressly labeled “fixed price,” all quotes are estimates based on the information, photographs, measurements, access details, and visible conditions available when prepared.

An estimate may change if:

  • The actual quantity, volume, weight, condition, or type of materials differs from what was disclosed;

  • The unit or work area is larger or requires more labor than represented;

  • Stairs, elevators, long carry distances, limited parking, restricted access, after-hours rules, or other site conditions affect performance;

  • Disposal, permit, equipment, material, toll, parking, or third-party charges change;

  • Hazardous, regulated, infested, contaminated, unusually heavy, or concealed conditions are discovered;

  • The Client requests additional work; or

  • The original information was incomplete or inaccurate.

Submitting a request does not guarantee acceptance, availability, a particular crew, price, start time, or completion time. A booking is confirmed only when UnitReady accepts it and any required deposit or payment authorization has been received.

4. Scope and Standard of Services

UnitReady will perform the Services described in the applicable Service Order in a professional and workmanlike manner, subject to ordinary industry tolerances, site conditions, product limitations, and these Terms.

Only work expressly included in the Service Order is part of the Services. Unless expressly included, the Services do not include emergency response; disaster remediation; fire or water restoration; mold, asbestos, lead, sewage, crime-scene, hoarding, or biohazard remediation; pest treatment; structural work; engineering; security; legal compliance inspections; document destruction; data destruction; storage; or work requiring a trade or professional license.

Any stated 24–48 hour, same-day, same-week, rush, or estimated turnaround is a service target—not a guarantee—unless the Service Order expressly states that the deadline is guaranteed and specifies a remedy for delay.

5. Client Responsibilities

The Client must, at its expense:

  • Provide accurate and complete information about the Property, requested Services, occupancy, contents, access, hazards, and site rules;

  • Ensure the work has been lawfully authorized and all required owner, resident, tenant, association, governmental, or third-party approvals have been obtained;

  • Provide safe, timely, and lawful access, including working keys, gate codes, lockbox codes, parking authorization, loading access, and elevator reservations;

  • Provide reasonably available electricity, water, lighting, and climate conditions when required for the Services;

  • Remove or clearly identify all items that must not be discarded, moved, cleaned, altered, or photographed;

  • Secure cash, jewelry, medications, firearms, keys, personal records, electronics, collectibles, sentimental items, and other valuables before the crew arrives;

  • Keep residents, guests, children, pets, and unauthorized personnel away from the active work area;

  • Disclose known or suspected hazards, infestations, structural defects, utilities, surveillance devices, and fragile or unusually valuable surfaces or items;

  • Identify approved staging, loading, disposal, and parking areas; and

  • Inspect the completed Services promptly and report concerns as required by Section 14.

UnitReady is not responsible for delays, additional costs, or incomplete work caused by the Client’s failure to satisfy these responsibilities.

6. Property Access, Keys, and Site Security

The Client authorizes UnitReady and its personnel, subcontractors, vehicles, and equipment to enter the designated property or unit (the “Property”) as reasonably necessary to perform the Services.

UnitReady may rely on access instructions and credentials supplied by the Client. The Client is responsible for the accuracy and security of all keys, codes, lockboxes, access devices, alarm instructions, and parking permissions. Unless separately agreed in writing, UnitReady is not a property-security, monitoring, or key-management provider and does not assume responsibility for continuous site security.

If UnitReady cannot obtain timely access, encounters an occupied unit that was represented as vacant, or determines that conditions are unsafe or unlawful, it may delay, suspend, or cancel the Services and charge any disclosed trip, waiting, mobilization, cancellation, or rescheduling fee, together with nonrecoverable costs.

7. Authority Over Contents and Tenant Property

The Client—not UnitReady—is solely responsible for determining whether items may lawfully be moved, removed, donated, recycled, resold, or discarded. Before removal begins, the Client represents and warrants that:

  • The Client owns the items or has full legal authority from the owner to direct their removal;

  • Any required lease, abandonment, eviction, notice, storage, redemption, or other legal process has been completed;

  • No resident, tenant, former tenant, owner, lienholder, insurer, or other person retains a right that prevents the requested handling of the items; and

  • The Client has clearly separated or identified all items that must remain.

UnitReady does not determine whether property is abandoned, adjudicate ownership disputes, conduct eviction proceedings, or provide legal advice. UnitReady may refuse to remove any item if ownership or authority is unclear.

To the extent permitted by law, items accepted and loaded for removal become UnitReady’s property solely for handling, donation, recycling, resale, salvage, or disposal. Removal is intended to be final. UnitReady has no obligation to locate, recover, store, or return an item after loading. Any attempted recovery is at UnitReady’s discretion and may require advance payment of all related labor, travel, storage, and third-party charges.

The Client should not place confidential records, identity documents, payment cards, hard drives, phones, or other data-bearing materials in a removal area unless a Service Order expressly includes secure destruction. Ordinary junk removal is not secure document or data destruction.

8. Prohibited and Special-Handling Materials

Unless UnitReady expressly agrees in writing and is legally authorized to handle them, the Services do not include hazardous, regulated, infectious, explosive, or special waste, including:

  • Asbestos, lead-containing debris, mold-contaminated material, or unknown construction dust;

  • Medical waste, needles, sharps, bodily fluids, animal or human waste, or biohazards;

  • Explosives, fireworks, ammunition, firearms, controlled substances, or illegal items;

  • Gasoline, oil, fuel, pesticides, pool chemicals, corrosives, solvents, or unidentified chemicals;

  • Pressurized tanks or cylinders, refrigerants, industrial batteries, or mercury-containing items;

  • Sewage, dead animals, significant food decomposition, or severe infestation;

  • Radioactive materials or other items requiring a special permit, manifest, or regulated disposal method; or

  • Any material a receiving, recycling, donation, or disposal facility refuses to accept.

Paint, tires, mattresses, appliances, electronics, concrete, roofing, dirt, pianos, safes, hot tubs, large exercise equipment, and unusually dense or heavy items may require advance approval and additional charges.

If prohibited, concealed, misidentified, or special-handling materials are discovered, UnitReady may isolate the area, stop work, leave the material in place, require a qualified provider, or revise the price and schedule. The Client is responsible for resulting delays, mobilization, testing, containment, cleanup, regulatory, disposal, and third-party costs to the extent caused by the Client’s failure to disclose the condition.

9. Service-Specific Conditions

A. Turnover and Make-Ready Services

Turnover and make-ready Services are limited to the tasks and standard stated in the Service Order. UnitReady does not certify that a unit complies with any lease, housing code, habitability standard, accessibility requirement, lender requirement, insurer requirement, or property-management policy unless that specific inspection or certification is expressly included.

B. Cleaning

Cleaning improves the condition of surfaces but does not guarantee restoration to “like new” condition or complete removal of permanent stains, etching, mineral deposits, wear, discoloration, smoke residue, odors, pet damage, paint transfer, adhesive, rust, grout discoloration, or damage below surface soil.

Cleaning does not include mold remediation, pest treatment, biohazard remediation, or removal of materials that cannot be safely treated with ordinary commercial cleaning methods. UnitReady may decline to clean damaged, unstable, delicate, improperly installed, or chemically incompatible surfaces.

C. Junk Removal and Hauling

Junk-removal pricing may depend on volume, weight, labor, access, sorting, equipment, and disposal or facility charges. UnitReady may choose a lawful donation, recycling, salvage, resale, transfer, or disposal method but does not guarantee that any item will be donated or recycled or that a charitable receipt will be available.

The Client is responsible for identifying load-bearing restrictions, underground or concealed utilities, property boundaries, and surfaces that cannot support vehicles or equipment. UnitReady may refuse any route or loading position it reasonably believes could be unsafe or cause damage.

D. Light Repairs, Patching, and Touch-Up Painting

Light-repair Services are limited to the specific tasks authorized in the Service Order. Unless expressly included and performed by an appropriately qualified provider, UnitReady does not perform structural, engineering, roofing, electrical, plumbing, HVAC, gas, fire-suppression, environmental-abatement, or other licensed-trade work.

Exact paint, sheen, texture, caulk, grout, flooring, hardware, and finish matches are not guaranteed because of aging, fading, prior repairs, manufacturer changes, application methods, substrate condition, and batch variation. A visible transition after touch-up is not necessarily defective workmanship. If the Client supplies materials, UnitReady is not responsible for defects, shortages, incompatibility, or manufacturer performance.

E. Moving and Labor

Unless a Service Order expressly states otherwise, moving or labor Services do not include packing, inventory, valuation, long-term storage, specialty rigging, or transportation of prohibited materials. The Client must identify fragile, oversized, high-value, or unusually heavy items in advance. UnitReady may require additional personnel, equipment, or charges or may decline the item.

10. Change Orders and Unforeseen Conditions

If conditions differ materially from the agreed scope, UnitReady may pause work and propose a revised scope, price, crew size, or schedule. Approval may be documented by signature, email, text message, client-portal action, recorded call where lawful, payment, or other electronic confirmation.

UnitReady will not be required to perform additional work without approval. If immediate action is reasonably necessary to prevent injury or material property damage and the Client cannot be reached, UnitReady may take reasonable protective steps but is not obligated to do so. The Client will be responsible for reasonable, documented costs of authorized or reasonably necessary protective work, except to the extent the condition was caused by UnitReady.

11. Scheduling, Delays, and Crew Assignment

Arrival windows and completion dates are estimates unless the Service Order expressly provides otherwise. UnitReady may use employees, independent contractors, subcontractors, specialists, or third-party facilities to perform or support the Services. UnitReady remains responsible for delivering the contracted scope, subject to these Terms.

UnitReady may reschedule, reassign personnel, or adjust the work sequence because of weather, traffic, equipment problems, disposal-facility restrictions, material availability, unsafe conditions, prior-job delays, labor availability, governmental action, or other circumstances. UnitReady will provide reasonable notice when practicable.

12. Charges, Payment, and Taxes

The Client agrees to pay all charges in the Service Order and approved change orders, together with applicable taxes, disposal fees, tolls, permits, parking charges, and other disclosed reimbursable costs.

Payment is due according to the Service Order. If no due date is stated, payment is due upon completion. UnitReady may require a deposit, card authorization, progress payment, or payment in full before scheduling or continuing work. Deposits are credited to the final invoice but may be applied to permitted cancellation charges and nonrecoverable costs.

The Client authorizes UnitReady and its payment processor to charge the payment method supplied for approved charges. If a payment fails or is reversed, the underlying obligation remains due. A chargeback does not cancel the Client’s responsibility for valid charges.

Past-due balances may accrue a late charge at the lesser of 1.5% per month or the maximum rate permitted by law, plus reasonable collection costs and attorneys’ fees where recoverable. UnitReady may suspend future work or account privileges while an undisputed balance remains overdue.

Billing concerns must be reported promptly to billing@tryunitready.com. An operational request to report a billing issue promptly does not shorten any nonwaivable legal right.

13. Cancellations, Rescheduling, and Failed Access

The cancellation and rescheduling terms stated in the Service Order control. If the Service Order does not state a policy:

  • A Client may cancel or reschedule without a UnitReady cancellation fee by providing at least 24 hours’ notice before the scheduled arrival window, but remains responsible for nonreturnable materials, permits, equipment rentals, disposal reservations, and other approved nonrecoverable costs;

  • For less than 24 hours’ notice, UnitReady may charge a reasonable fee reflecting reserved labor, travel, mobilization, and nonrecoverable costs, not to exceed 25% of the scheduled Service price unless a different amount was disclosed and accepted; and

  • If a crew arrives but cannot obtain access, the site is occupied contrary to the Client’s instructions, the work is unauthorized, or an undisclosed condition makes performance unsafe or unlawful, UnitReady may treat the event as a late cancellation and charge waiting time and documented costs.

Where applicable law gives the Client a nonwaivable cancellation right, that law controls.

14. Completion, Inspection, and Service-Quality Concerns

UnitReady may document completion through photographs, checklists, timestamps, crew records, client-portal updates, or a completion notice.

The Client should inspect the Services as soon as reasonably possible. A visible service-quality concern—such as an omitted cleaning task or incomplete in-scope item—should be reported within 48 hours after the completion notice, with reasonable details and photographs when available. The Client must provide UnitReady a reasonable opportunity to inspect and, when appropriate, reperform the affected portion before hiring another provider or altering the condition.

If UnitReady verifies that an in-scope task did not meet the agreed standard, UnitReady may, at its option, reperform the affected task, issue an appropriate service credit, or refund the portion of the price reasonably attributable to that task. Except for rights that cannot legally be limited, this is the Client’s exclusive contractual remedy for an ordinary service-quality deficiency.

The 48-hour notice process is intended to allow prompt operational correction. It does not eliminate rights or claims that applicable law does not permit the parties to waive or shorten.

15. Property-Damage Claims

The Client must report alleged property damage as soon as reasonably possible, preferably within 72 hours after discovery, and must preserve the condition for inspection. The report should identify the damaged item, location, alleged cause, date discovered, photographs, proof of ownership, age, pre-service condition, and available repair information.

UnitReady is not responsible for:

  • Preexisting damage, wear, deterioration, improper installation, latent defects, or unsafe conditions;

  • Damage that results from the Client’s instructions after UnitReady warned of the risk;

  • Ordinary wear inherent in authorized removal, cleaning, patching, or moving work;

  • Damage caused by undisclosed fragility, weak substrates, overloaded structures, concealed utilities, or defective materials;

  • Loss of items the Client authorized UnitReady to remove; or

  • Damage caused by occupants, other vendors, weather, pests, utilities, or events outside UnitReady’s reasonable control.

If UnitReady accepts responsibility for direct physical damage, it may elect to repair the item, arrange a qualified repair, or pay the reasonable depreciated value or reasonable repair cost, as appropriate. UnitReady is not responsible for replacing undamaged matching items solely because an exact cosmetic match is unavailable, except where applicable law requires otherwise.

16. Photographs, Records, and Monitoring

The Client authorizes UnitReady to create and retain before, during, and after photographs, video, measurements, checklists, communications, GPS or arrival records, and other job documentation reasonably necessary for estimates, scheduling, quality control, safety, training, payment, dispute resolution, and insurance.

UnitReady will not use identifiable Property photographs in public advertising, social media, or a case study without separate permission from the Client, except that UnitReady may use de-identified or closely cropped images that do not reasonably identify the Client, resident, address, or Property.

The Client is responsible for notifying occupants and obtaining any legally required consent for authorized documentation or monitoring at the Property. UnitReady personnel may not be recorded in private areas where recording would be unlawful.

17. Communications and Electronic Transactions

You consent to conduct transactions electronically and to receive estimates, Service Orders, invoices, disclosures, notices, and other records by email, text message, client portal, or Site display. Your electronic acceptance, including clicking an acceptance box or button, typing your name, approving by text or email, or paying an invoice or deposit, is intended to have the same legal effect as a handwritten signature.

By providing a telephone number or email address, you authorize UnitReady to send service-related communications, including appointment confirmations, crew-arrival notices, access questions, change-order requests, invoices, and follow-ups. Message frequency varies, and carrier message and data rates may apply. You may reply STOP to an eligible text thread to stop text messages or contact us using the information in Section 32. Stopping electronic messages may limit UnitReady’s ability to provide time-sensitive Services.

Consent to receive marketing calls or automated marketing texts is governed by any separate opt-in presented to you and is not a condition of purchasing Services. Marketing emails will include an available opt-out method when required by law.

You must keep your contact information current. Notice sent to the most recent email address, telephone number, or account contact you supplied may be treated as delivered to the extent permitted by law.

18. Accounts and Client Portal

If the Site permits account creation, you are responsible for safeguarding your login credentials and for all activity under your account. You must promptly notify UnitReady of suspected unauthorized access. You may not share access with an unauthorized person, impersonate another person, or use an account to access another Client’s information.

UnitReady may require multifactor authentication, suspend compromised credentials, or restrict portal functionality to protect the Site, Clients, or UnitReady. The Site is not designed to serve as the Client’s exclusive recordkeeping system, and the Client should retain copies of material Service Orders, invoices, and records.

19. Client Content

You retain ownership of information, photographs, floor plans, instructions, files, reviews, and other content you submit (“Client Content”). You grant UnitReady a nonexclusive, worldwide, royalty-free license to host, copy, process, transmit, and use Client Content only as reasonably necessary to operate the Site, provide and improve the Services, maintain records, prevent fraud, enforce agreements, and comply with law.

You represent that you have the rights and permissions necessary to provide Client Content and that it does not violate law, privacy, confidentiality, intellectual-property, or other third-party rights. Do not upload protected tenant records, government identifiers, payment-card data, health information, or other sensitive information unless UnitReady specifically requests it through an approved secure process.

20. Privacy

UnitReady’s collection and use of personal information is described in its Privacy Policy, available at tryunitready.com/privacy-policy, which is incorporated into these Terms by reference. If these Terms conflict with the Privacy Policy regarding the handling of personal information, the Privacy Policy controls for that issue.

21. Ownership of the Site

The Site and its software, design, text, graphics, logos, service names, workflows, databases, and other content supplied by UnitReady are owned by or licensed to UnitReady and are protected by intellectual-property laws. Subject to these Terms, UnitReady grants you a limited, revocable, nonexclusive, nontransferable right to use the Site for your internal evaluation, ordering, management, and receipt of Services.

You may not copy, scrape, frame, mirror, reverse engineer, decompile, sell, sublicense, publicly display, remove proprietary notices from, interfere with, or create derivative works from the Site except as applicable law expressly permits.

22. Prohibited Use

You may not use the Site or Services to:

  • Violate any law, lease, court order, property right, or third-party right;

  • Arrange unauthorized entry, removal, disposal, surveillance, or alteration of property;

  • Submit false, misleading, fraudulent, or incomplete information;

  • Introduce malware, probe security, disrupt operations, automate abusive requests, or bypass access controls;

  • Harass, threaten, discriminate against, or endanger UnitReady personnel or others;

  • Request unlawful disposal or conceal hazardous or regulated material;

  • Resell access to the Site without written permission; or

  • Use UnitReady’s name, marks, photos, or work product in a deceptive or unauthorized manner.

23. Third-Party Services and Links

The Site or Services may rely on or link to third-party payment processors, mapping tools, communications providers, disposal facilities, donation centers, software, websites, or other services. Third parties may have separate terms and privacy policies. UnitReady is not responsible for an independent third party’s content, availability, acts, omissions, security, or policies, except to the extent UnitReady is legally responsible for a subcontractor performing UnitReady’s contracted Services.

24. No Professional Advice

Site content, automated estimates, checklists, recommendations, and communications are provided for service-planning purposes. They are not legal, environmental, engineering, tax, insurance, code-compliance, property-management, or other professional advice. The Client remains responsible for obtaining appropriate professional guidance and making legal decisions concerning tenants, abandoned property, safety, disposal, repairs, and regulatory compliance.

25. Limited Service Warranty; Disclaimer

UnitReady warrants that it will perform the Services in a professional and workmanlike manner consistent with the applicable Service Order. The correction process in Section 14 applies to ordinary service-quality concerns.

EXCEPT FOR THAT EXPRESS LIMITED WARRANTY AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” UNITREADY DISCLAIMS ALL OTHER EXPRESS, IMPLIED, OR STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

UNITREADY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE; THAT AN ESTIMATE, AVAILABILITY DISPLAY, OR COMPLETION FORECAST WILL BE ACCURATE; OR THAT THE SERVICES WILL REMOVE EVERY STAIN, ODOR, DEFECT, HAZARD, OR CONDITION.

Some jurisdictions do not allow certain warranty exclusions. In that event, the exclusion applies only to the extent permitted by law. Nothing in these Terms waives a right or remedy that applicable law does not permit the parties to waive or shorten.

26. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER UNITREADY NOR ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS OR REVENUE; LOST RENT; LOSS OF USE; BUSINESS INTERRUPTION; LOSS OF DATA; REPUTATIONAL HARM; OR THE COST OF A REPLACEMENT PROVIDER, EVEN IF ADVISED THAT SUCH DAMAGE MAY OCCUR.

EXCEPT FOR DIRECT PHYSICAL DAMAGE TO TANGIBLE PROPERTY THAT UNITREADY ACCEPTS OR IS FINALLY DETERMINED TO HAVE PROXIMATELY CAUSED THROUGH ITS NEGLIGENCE, UNITREADY’S TOTAL AGGREGATE LIABILITY ARISING FROM A SERVICE ORDER WILL NOT EXCEED THE AMOUNT THE CLIENT PAID OR OWES UNITREADY FOR THE SPECIFIC SERVICE ORDER GIVING RISE TO THE CLAIM.

For direct physical damage to tangible property caused by UnitReady, recovery is limited to the reasonable cost to repair the damaged item or its reasonable depreciated value, whichever is less, subject to Section 15 and applicable law.

The limitations in this Section do not apply to liability for fraud, gross negligence, willful misconduct, bodily injury, or any other liability that applicable law does not permit the parties to limit. These limitations allocate risk between the parties and apply regardless of the legal theory asserted.

27. Business-Client Indemnification

This Section applies only when the Client obtains Services primarily for business, commercial, rental-property, or property-management purposes.

The Client will defend, indemnify, and hold harmless UnitReady and its owners, officers, employees, contractors, and agents from third-party claims, damages, penalties, losses, liabilities, and reasonable costs, including attorneys’ fees, arising from:

  • The Client’s breach of Sections 1, 5, 7, 8, 19, or 22;

  • A claim that the Client lacked authority to enter the Property or direct the handling of an item;

  • A tenant, resident, owner, lienholder, or other person’s claim concerning items removed at the Client’s direction;

  • An undisclosed hazardous, regulated, illegal, infested, contaminated, or unsafe condition at the Property;

  • Client Content, instructions, materials, or equipment supplied by the Client; or

  • The Client’s negligence, willful misconduct, or violation of law.

This obligation does not apply to the extent a claim was caused by UnitReady’s negligence, gross negligence, willful misconduct, or breach of the applicable Service Order. UnitReady will provide reasonable notice of an indemnified claim and may participate in the defense with counsel of its choice.

28. Dispute Resolution; Arbitration; Class-Action Waiver

A. Informal Resolution First

Before filing arbitration or a lawsuit, the complaining party must send an individual written notice describing the dispute, relevant Service Order, requested relief, and contact information to legal@tryunitready.com or, for a notice to the Client, to the Client’s most recent account email. The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt. Any applicable limitations period will be tolled during that 30-day period to the extent permitted by law.

B. Agreement to Arbitrate

Except for the matters listed in subsection C, any dispute, claim, or controversy arising out of or relating to the Site, Services, a Service Order, these Terms, communications between the parties, or the relationship between the parties—including disputes about the formation, validity, interpretation, scope, enforceability, or breach of this arbitration agreement—will be resolved by final and binding arbitration on an individual basis.

The Federal Arbitration Act governs this arbitration agreement. For an individual acting primarily for personal, family, or household purposes, the arbitration will be administered by the American Arbitration Association (“AAA”) under its then-current Consumer Arbitration Rules. For all other Clients, the arbitration will be administered by the AAA under its then-current Commercial Arbitration Rules. The applicable rules are available at adr.org.

Unless the parties agree otherwise, the arbitration will be conducted remotely by video, telephone, or document submission. If an in-person hearing is required, it will take place in Tarrant County, Texas, or, for a consumer, in another location required by the applicable AAA rules or law. The arbitrator may award any individual remedy available in court under applicable law. Judgment on the award may be entered in any court with jurisdiction.

For a consumer arbitration, the consumer will pay no more than the amount required by the AAA Consumer Rules, and UnitReady will pay the fees the rules allocate to the business. UnitReady will also pay any additional amount the arbitrator determines is necessary to prevent arbitration costs from being prohibitive compared with court. For a commercial arbitration, fees will be allocated under the Commercial Rules. Each party will bear its own attorneys’ fees unless a contract, statute, or the arbitrator permits an award of fees.

If the AAA is unavailable or declines to administer the arbitration, the parties will attempt to select another nationally recognized arbitration provider. If they cannot agree, a court with jurisdiction may appoint the arbitrator or provider consistent with the Federal Arbitration Act.

C. Exceptions

Either party may bring an eligible individual claim in small-claims court. Either party may also seek temporary or preliminary injunctive relief in court to prevent actual or threatened unauthorized access, misuse of intellectual property, data-security harm, or immediate physical harm while arbitration is pending. Government agencies may exercise any authority available to them.

D. No Class or Representative Proceedings

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND UNITREADY AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT COMBINE CLAIMS OF DIFFERENT PERSONS OR PRESIDE OVER A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING WITHOUT THE WRITTEN CONSENT OF ALL PARTIES.

If a final decision determines that this subsection is unenforceable for a particular claim or requested remedy, only that claim or remedy will proceed in court after all arbitrable matters are completed.

E. Jury-Trial Waiver

FOR ANY DISPUTE THAT PROCEEDS IN COURT, YOU AND UNITREADY KNOWINGLY AND VOLUNTARILY WAIVE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY RIGHT TO A TRIAL BY JURY.

F. Right to Opt Out

You may opt out of subsections B, D, and E by emailing legal@tryunitready.com within 30 days after you first accept these Terms. Your notice must include your full name, organization if applicable, service address, account email or telephone number, date of acceptance, and a clear statement that you opt out of the arbitration agreement in the UnitReady Terms of Service. Opting out will not affect your ability to obtain Services or any other part of these Terms. An opt-out applies only to the person or entity identified in the notice.

29. Governing Law and Court Venue

These Terms and all non-arbitrable disputes are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 28.

Any court proceeding permitted under these Terms must be brought exclusively in a state court located in Tarrant County, Texas, or the United States District Court with jurisdiction over Tarrant County, and each party consents to personal jurisdiction and venue there. A consumer may bring a claim in another venue if applicable law does not permit this venue requirement.

30. Suspension and Termination

UnitReady may suspend or terminate Site access, decline a request, stop work, or cancel a Service Order if the Client breaches these Terms; fails to pay an undisputed amount; creates an unsafe, abusive, fraudulent, or unlawful condition; conceals prohibited material; lacks authority; or asks UnitReady to violate law.

The Client remains responsible for Services performed, approved materials, nonrecoverable costs, and other charges accrued before suspension or termination. Sections that by their nature should survive—including payment, ownership, disclaimers, liability limits, indemnification, dispute resolution, and general provisions—will survive.

31. Changes to These Terms

UnitReady may update these Terms from time to time. The “Last Updated” date will identify the current version. Material changes will be communicated by a reasonable method, such as a Site notice, portal notice, or email to active account contacts.

Changes apply prospectively when posted or on a later stated date. The version accepted for a confirmed Service Order will continue to govern that Service Order unless the parties agree otherwise or a change is required by law. Continued use of the Site or new Services after updated Terms take effect constitutes acceptance of the updated Terms.

32. General Terms and Contact Information

These Terms and the documents incorporated by reference are the complete agreement concerning their subject matter, subject to Section 2. If any provision is invalid or unenforceable, it will be enforced to the maximum extent permitted and the remainder will remain in effect, except as specifically stated in Section 28(D).

A party’s delay or failure to enforce a provision is not a waiver. The Client may not assign these Terms or a Service Order without UnitReady’s written consent.
